Your submission for Membership in the SME Vendor Network consititutes your acceptance of the terms and conditions herein. Your computers local IP Address at : [ 38.103.63.57 ] has been identified, recorded and time stamped to certify disclosures of this agreement at the time of its original delivery, and again upon a membership offer being accepted by you as duly authorized representative of your company or establishment.

v Minimum Membership Qualification Requirements & Resposiblities : In order to maintain the quality and integrity of the SME Vendor Network and the effectiveness and "stickiness" of our online SME Planner® software and the vendor directories at www.simplymyevent.com, all members are expected to abide by the following MINIMUM Participation Requirements for the duration of their membership. If you are unable to meet these requirements at the time of your original request to join the network, please contact us to discuss your unique situation BEFORE submission or See Below ~ Item #5.

1. Legal & Relevant Entity : Your Company or Establishment must be a LEGAL Entity and be properly licensed to conduct business within at least 1 State and/or Region that you wish to have your listings posted AND should offer products or services that are in some way RELEVANT to companies or individuals planning an event approriate to similar resources found at www.simplymyevent.com. Simply My Event, LLC reserves the right to re-classify placement of any request made for listings that are not obviously relevant for placement in a specified directory. If your company offers a relevant product or service for which an appropriate category may not exist within the current directories, the category will usually be added for a PREMIUM Member upon request.

2. Working EMAIL Address* & Phone Number : PLEASE be RESPONSIVE during business hours that would be considered "normal" for your specific type of business via BOTH Email and Telephone. You agree that the EMAIL ADDRESS you provide may be disclosed to the REGISTERED users of the online SME Planner® software, so that they may contact you via email to conduct official business with you during your normal hours of operation. ALL ACTIVE SME MEMBERS ARE REQUIRED TO PROVIDE A WORKING EMAIL ADDRESS. If you do not have one, please contact us and we will set one up for you FREE of CHARGE. Repeated failures to reply to email requests made by SME Planner® software users may result in downgrades or removal of your listings. * All members are asked to VERIFY that the email software being used to recieve email at the address you provide is configured to RECEIVE HTML Messages FROM : info@simplymyevent.com ... AND that you frequently check for, and promptly reply to, incoming email messages containing the SUBJECT LINE : "Contact Request from Simply My Event " ... these are usually requests being made specifically from SME Planner® users that have added you to their FAVORITES list, and are inquiring about your product or services. Remember that emails that go unresponded to for more than 24 hours will usually result in the user quickly moving on to other sources. NOTE : You may also receive additional REMINDER Email Messages, after their original contact is made. These additional emails are generated via the online software, by users wishing you to make additional contact or maintain relevant and/or automated communications with you regarding their events.

3. WEBSITE URL, Contact Information & Other Listing Data : You agree that the Telephone Number, Street Address, Business Description, Logos, etc., that you submit as sources for development of your advertisement also consitutes your permission to post this data and imagery on the simplymyevent.com website for PUBLIC view. ALL PREMIUM MEMBERS MUST HAVE EITHER AN ACTIVE WEBSITE and/or E-BROCHURE. If you do not have a WEBSITE, please contact us for other available options BEFORE submission or See Below ~ Item #5.

4. Logos, Banner Graphics, Design, eBrochures and Proofing : IF possible, WE WILL DO ALL THE GRAPHIC LAYOUT and DESIGN WORK needed to fulfill the inclusions of your membership plan for FREE. For PREMIUM Members, if you do not have a company logo, graphic images, or live website from which we can extract these elements to build your FREE Banner Ads, we will provide whatever personal services are necessary to create you a logo or build your ads, listings, etc. to your satisfaction. However, for FREE Memberships the MEMBER must be able to provide these elements to us, or we must be able to extract them from a source, such as your website, before we are able to build your ads and post them to the directories. IF POSSIBLE, PLEASE BE PREPARED TO SUBMIT THESE REQUIRED DESIGN ELEMENTS WITH YOUR ORIGINAL REQUEST Form. PREMIUM Members signing up for a GOLD Package or above may also be requested to submit additional details and/or images needed to complete the design & layout of extra listing features, such as eBrochures or iCoupons. All members are responsible for careful PROOFING of their own Ads, Listings, eBrochures, etc. upon posting to the LIVE Directories. A PROOF Notiification and ORDER NUMBER will be emailed to you immediately following any posting. PROOF YOUR LISTINGS CAREFULLY.. Check all spelling, addresses and phone number to insure that they are exactly as you wish them to appear. Also TEST Send via the "CONTACT LISTING" link in your ad to insure proper email routing and familiarize yourself with recognizing these email request. Also test all active URL Links, such as your website address, to insure that they are pointed and functioning as you would intend. Simply My Event, LLC is not responsible for ANY typo's or errors that may exist and go unreported by you. Any changes, corrections or modifications you wish to make to your listings or ads, as well as original eBrochures or iCoupon information should be submitted via the Manage My Listings link available via the MEDIA ROOM at simplymyevent.com and referencing the Order Number provided in your proof notification email.

5. Our Inability to Process Some Request : In an effort to maintain the quality, integrity and overall effectiveness of our services, Simply My Event, LLC may be unable to process Memership Request that do not comply with, or meet these minimum qualification requirements of membership as described above. If you are unable to provide the required data, elements or you are uncertain of your ability to comply with any of the conditions herein noted, please contact us at 1.800.858.6599 for clarification BEFORE submitting your Membership Request. If you are 100% certain that you will not qualify for membership, you may still Request a FREE BRONZE Listing by clicking here. NOTE : BRONZE LISTINGS DO NOT INTEGRATE WITH THE SME PLANNER® Software, and are always posted below all other listings IF there is available space in the category being requested. BRONZE Listings do not require membership and are not officially considered to be part of the SME Vendor Network. Bronze Listings are subject to removal from our directories at any time, without notice.

v Duration & Renewal of Membership Agreements : Unless otherwises provided for in writing, the duration of all SME Vendor Network PREMIUM or FREE Membership Plans are for a period of (1) one calendar year from the date of the original postings of your Ad(s) and/or Listing(s) to our directories on the www.simplymyevent.com website. PREMIUM Membership Renewal and any fees associated thereof, are due annually no later than 15 calendar days after your current 1 year subscription has expired. Renewals must be made BEFORE the expiration of this 15 day grace period in order to maintain and qualify for what will likely be continued special, position placements, rate discounts and/or membership benefits available to you at the time of renewal.

Membership Rates are subject to annual performance reviews & negotiations, and under no circumstaces, expressed or implied, should you expect them to be continued at the same rate after your first year of the exclusive and extremely discounted membership plans that were offered as an incentive to join the network. Any member failing to renew in accordance to these terms, where our automated reporting system reveals "successful result", enough to justify an appropraiate and fair rate increase, or negotiation offer for renewal, may be subject to the downgrading or removal of Ads or Listings, in the event that a fair offer is refused and at the sole discretion of Simply My Event, LLC. In NO Instance would such an increase ever exceed the publicly posted STANDARD RATES, and in most instance would likely still remain extremely discounted from the standard rates. PREMIUM Mmebers joining the SME Vendor Network under a special or exclusive discount offer will be renewed at the SAME Rates as the previous year PROVIDING that there is no competeing interest or request being made for the category or directory placement they hold at the time of renewal.

v Permformance Guarantees : New Premium Members are offered a First Year Performance Gurantee and should conduct their own fair evaluation of our service and performance committments to you upon your annual renewal date, and if the conditions of such a guarantee have not been met and honored by Simply My Event, LLC, the member may, and should, request the appropriate renewal actions for membership or related fees in accordance with the terms of this original guarantee. Such requests also should be accompanied by a copy of the original "Authorization & Insertion Order" provided at the time of joining, and requests should be made in writing via email to : clientservices@simplymyevent.com within the renewal grace period indicated above.
